These Terms of Service ("Terms") govern your access to and use of TradeReach, operated by Xavier Logistics LLC ("Company," "we," "us"). By accessing or using our service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using TradeReach, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

2. Description of Service

TradeReach is a business management platform for home service and trades businesses. Features include customer management, SMS messaging, quotes, invoices, scheduling, and reporting tools.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use our services
• One person or entity may not maintain more than one free account

4. Payment Terms

• TradeReach is billed at $49 per month, charged in advance
• All payments are processed securely through Stripe
• Subscriptions automatically renew each month unless cancelled
• You may cancel at any time — no refunds for partial months
• We reserve the right to change pricing with 30 days notice

5. SMS Messaging Policy

By using our SMS features, you agree to:

• Only send messages to individuals who have consented to receive them
• Include opt-out instructions (STOP) in all messages
• Comply with all applicable laws including TCPA and CAN-SPAM
• Not send spam, illegal content, or harassing messages
• Be solely responsible for the content of messages you send

We reserve the right to suspend SMS access for accounts that violate these policies.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Send unsolicited commercial messages (spam)
• Violate any third-party rights including intellectual property
• Attempt to gain unauthorized access to our systems
• Resell or sublicense access to TradeReach without permission

7. Data and Privacy

Your use of TradeReach is also governed by our Privacy Policy. You retain ownership of your customer data. We will not sell or share your data with third parties except as described in our Privacy Policy.

8. Intellectual Property

TradeReach and its original content, features, and functionality are owned by Xavier Logistics LLC and are protected by copyright, trademark, and other intellectual property laws.

9. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may cancel your account at any time from the billing settings page. Upon termination, your right to use the service ceases immediately.

10. Limitation of Liability

To the maximum extent permitted by law, Xavier Logistics LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of TradeReach. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Disclaimer of Warranties

TradeReach is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Orange County, Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the platform. Continued use after changes constitutes acceptance.
